Citadel Securities is advocating for a more measured approach to the regulation of tokenized securities, citing potential disruptions to the market and confusion among investors. In a letter addressed to the U.S. Securities and Exchange Commission's Crypto Task Force, the company emphasized the need for a comprehensive regulatory framework to prevent unfair advantages for cryptocurrency platforms and to maintain liquidity in traditional equity markets. The trend of tokenizing securities, which involves transferring traditional assets to the blockchain, has been gaining momentum, with several major players such as Backed Finance, Gemini, and Robinhood introducing tokenized stocks.
Proponents of tokenized securities highlight their ability to be traded continuously, fractionally, and with faster settlement times, as well as their potential applications within the decentralized finance (DeFi) sector. However, Citadel Securities remains skeptical about the benefits of tokenized securities, suggesting that they must demonstrate genuine innovation and efficiency rather than relying on regulatory loopholes. As SEC Chairman Paul Atkins indicates a willingness to update securities laws in support of financial innovation, including tokenization, Citadel Securities is urging a thorough and formal rulemaking process.
The company warns that a hasty or piecemeal approach could harm the initial public offering market by providing private companies with alternative funding options, thereby diverting liquidity away from equity markets and into less accessible pools, which could have significant implications for institutional investors such as pension funds, endowments, and banks.
